Terms & Conditions

1. The Hotel Friendly Evaluation License

Hotel Friendly, a proprietary software platform engineered, owned, and operated by Theryx Studio (an enterprise established under the laws of India, hereinafter referred to as "Theryx Studio"), provides verified commercial hotel operators ("Hotel" or "Customer") with a limited, personal, non-exclusive, non-transferable, revocable ten (10) calendar day evaluation license to test and assess internal hotel-operation features.

The evaluation tier provides access to core internal administrative tools, including: Hotel, floor, and room inventory management; Staff roster management and operational task assignment; Internal front-desk administrative operations; Staff shift and attendance timestamp logging; Operational proof-of-work visual verification; and Internal operational reporting dashboards.

⭐ OPERATIONAL RESTRICTION: Hotel Friendly is strictly an internal operational management and back-office workflow application. It is NOT a public booking engine, consumer travel marketplace, payment clearinghouse, travel agency, or public-facing reservation channel. The Hotel expressly covenants not to market, advertise, or represent the platform to the general public or hotel guests as a booking portal.

2. Trial Activation, Computation of Period, and Server Controls

The ten (10) consecutive calendar day evaluation period commences precisely when the Hotel completes electronic registration, verifies its commercial identity, and the dedicated workspace instance is provisioned and activated by Theryx Studio.

Computation of Evaluation Window: The evaluation term shall run for exactly ten (10) consecutive twenty-four (24) hour calendar days (a total of 240 hours) calculated from the recorded system timestamp of initial workspace provisioning, irrespective of whether the Hotel actively accesses or utilizes the platform during said period.

Automated Server Lock: Upon the expiration of the 240-hour period, access to the evaluation workspace is automatically locked, suspended, and restricted through server-side programmatic controls.

3. Data Retention, Segregation, and Statutory Preservation ⭐ CRITICAL ⭐

Theryx Studio enforces strict data segregation between customer-generated workspace operational data and statutory network security traffic records to balance data minimization principles against mandatory retention laws:

• Trial Workspace Operational Data: All operational records inputted by the Hotel—including room inventories, staff profiles, duty logs, operational notes, and incidental guest details—are retained during the active ten (10) day trial and shall be scheduled for automated, permanent, non-recoverable deletion within thirty (30) calendar days following trial expiration, unless a paid commercial subscription is executed prior to the expiration of said 30-day window.
• Proof-of-Work Media Lifecycle: Operational task verification images, room turnover photos, and proof-of-work visual files uploaded by hotel staff are temporary, ephemeral files subject to automated lifecycle deletion schedules. The evaluation workspace is NOT an archival storage facility or electronic records repository. Theryx Studio reserves the unilateral right to compress, purge, or overwrite media files to optimize system stability.
• System Authentication and Traffic Logs: System access logs, user authentication timestamps, originating IP addresses, session metadata, and subscriber account creation records are retained strictly for infrastructure security, fraud prevention, and statutory compliance. Pursuant to Section 13 of the Philippine Cybercrime Prevention Act of 2012 (Republic Act No. 10175), Computer-Related Crime Act B.E. 2550 (Thailand), Information Technology Act, 2000 and CERT-In directions (India), and applicable United States standards, computer traffic data and subscriber information are preserved for a mandatory statutory period of not less than six (6) months from the date of the transaction.
• Ephemeral Session Cookies: Temporary session identifiers, cookies, and local browser cache tokens expire and are discarded upon the termination of the active browsing or mobile application session.
• Infrastructure Backups: Encrypted disaster recovery backups may temporarily retain system snapshots until such snapshots are cycled, overwritten, or destroyed in accordance with Theryx Studio's automated rolling infrastructure lifecycle procedures.

4. Evaluation Eligibility and Single-Trial Enforcement

The evaluation license is granted exclusively to authentic, legally operating commercial hospitality entities:

Prohibition of Circumvention: The Hotel, its officers, affiliates, and representatives warrant that they shall not register duplicate accounts, utilize alias domains, deploy disposable email addresses, misrepresent geographic operational locations, or circumvent server throttling mechanisms to obtain multiple or sequential evaluation cycles.

⭐ Enforcement Actions: Theryx Studio reserves the unreserved right to investigate, reject, suspend, or terminate evaluation instances with immediate effect and without prior notice where duplicate registrations, suspicious identity footprints, or evaluation-limit circumventions are detected. Any such circumvention constitutes unauthorized access under applicable cybersecurity laws.

5. Application Distribution, APK Licensing, and Device Permissions ⭐ CRITICAL ⭐

Access to the Hotel Friendly mobile application executable (.apk) or mobile deployment package is provisioned exclusively through Theryx Studio's authorized servers and official web portals:

Limited Executable License: The application file is licensed under a limited, personal, non-transferable, revocable license strictly to the registered Hotel for deployment on authorized staff devices. The Hotel is expressly prohibited from decompiling, modifying, redistributing, mirroring, sublicensing, reverse-engineering, or hosting the APK on public repositories, third-party marketplaces, or unapproved device management hubs.

Territorial Restriction & Disclaimer for Unauthorized Jurisdictions: The Hotel Friendly mobile application (.apk) and evaluation platform are engineered, licensed, and officially authorized solely for use by commercial hotel operators located within the Republic of the Philippines and the Republic of India. If any individual, hotel, or entity downloads, installs, accesses, or uses the APK or platform from any country or territory other than the Philippines or India, such download and usage are strictly unauthorized. Theryx Studio expressly disclaims any and all legal responsibility, obligation, liability, and duty of care regarding the data privacy, personal information, cybersecurity, or data loss of any user downloading or accessing the application outside India or the Philippines. Any person or entity accessing the application outside India or the Philippines does so entirely at their own risk and assumes exclusive legal responsibility for complying with all applicable local data privacy and cross-border data transfer laws.

Device Permission Limits: The Hotel Friendly mobile application requests device-level permissions strictly for:

• Local and Push Notifications: To deliver real-time operational alerts, shift assignments, and task updates; and
• Camera and Media Access: Exclusively for capturing and uploading active proof-of-work task images upon the deliberate manual initiation of the employee.

⭐ Privacy Guarantees: The application does NOT read, scrape, harvest, or access private device storage files, personal photo galleries, device address books, SMS logs, financial data, continuous hardware GPS location tracking, or background audio/video streams.

6. Consequences of Trial Expiration and Irrevocable Purge

Upon the arrival of the 240th hour of evaluation:

• All user accounts, administrative dashboards, and mobile endpoints associated with the evaluation instance shall immediately cease functioning and lock all operational interfaces.
• The 10-day evaluation does NOT automatically roll into a paid subscription; the Hotel will not be invoiced without express commercial contract execution.

7. Multi-Jurisdictional Governing Law and Statutory Compliance ⭐ CRITICAL ⭐

This Agreement and any dispute, controversy, or claim arising out of or relating to its formation, execution, or breach shall be interpreted under the substantive legal standards outlined below:

⭐ Primary Governing Law: Subject to mandatory local public policy provisions governing the protection of domestic data subjects, these Terms shall be governed by, interpreted, and construed in accordance with the substantive laws of Thailand, without giving effect to conflict of laws principles.

Jurisdiction-Specific Regulatory Frameworks:

FOR HOTELS IN THE PHILIPPINES: These Terms strictly comply with Republic Act No. 10173 (Data Privacy Act of 2012, "DPA") and its Implementing Rules and Regulations. The Hotel acts as the Personal Information Controller (PIC), and Theryx Studio acts strictly as the Personal Information Processor (PIP). Processing is conducted under the accountability framework of Section 21 and Section 20(f) of RA 10173. The Hotel expressly acknowledges, agrees, and consents that operational data entered into the platform will be transferred and hosted cross-border on Theryx Studio's secure cloud servers located outside the Republic of the Philippines (including India and secure regional cloud data centers), and warrants that it possesses all necessary lawful bases, employee consents, and guest notices required under Sections 12 and 13 of the DPA to execute such cross-border transfers. The formation, validity, and electronic acceptance of this Agreement are governed by Republic Act No. 8792 (Electronic Commerce Act of 2000). Server logging and traffic data retention comply with Section 13 of Republic Act No. 10175 (Cybercrime Prevention Act of 2012).

FOR HOTELS IN THAILAND: These Terms comply with the Thailand Personal Data Protection Act B.E. 2562 (PDPA). The Hotel acts as the Data Controller, and Theryx Studio acts as the Data Processor. Traffic logging complies with the Computer-Related Crime Act B.E. 2550 (as amended).

FOR HOTELS IN INDIA: These Terms comply with the Digital Personal Data Protection Act, 2023 (DPDP Act) and the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011. The Hotel acts as the Data Fiduciary and Theryx Studio acts as the Data Processor. The Hotel acknowledges and explicitly consents to cross-border data routing and international server processing.

FOR HOTELS IN THE UNITED STATES: These Terms comply with applicable state privacy laws, including the California Consumer Privacy Act as amended by the California Privacy Rights Act (CCPA/CPRA). The Hotel acts as the Business and Theryx Studio acts as the Service Provider. Theryx Studio shall not retain, use, sell, share, or disclose personal data for any purpose other than the specific business purpose of providing the evaluation services.

8. Administrative Oversight, Account Responsibility, and Staff Mandates

The Hotel maintains exclusive administrative control and complete legal responsibility over its workspace instance:

• Credential Security: The Hotel is solely responsible for enforcing robust password practices, safeguarding API keys, maintaining credential secrecy, and configuring role-based permissions across its administrative and managerial user tiers.
• Authorized Deployment: The Hotel warrants that only its authorized managerial and operational staff shall be granted access to the web console and mobile interfaces.
• ⭐ Employer Liability: Pursuant to the Labor Code of the Philippines, the Civil Code of the Philippines (Articles 2176 and 2180), and corresponding employer liability standards in other jurisdictions, all operational entries, room condition statuses, task verifications, and data submissions executed by staff members using authorized credentials are legally deemed the direct acts and representations of the Hotel itself. Theryx Studio shall not arbitrate, monitor, or bear responsibility for internal employment or labor disputes.

9. Statutory Data Protection Roles, DPA Obligations, and Employer Warranties ⭐ CRITICAL ⭐

To formalize the statutory relationship under Republic Act No. 10173 (Philippines), Thailand PDPA, Indian DPDP Act, and US CCPA/CPRA:

Allocation of Statutory Roles: The Hotel is the Personal Information Controller (PIC) / Data Controller / Business. Theryx Studio is the Personal Information Processor (PIP) / Data Processor / Service Provider. Theryx Studio processes personal data solely on documented, automated instructions executed by the Hotel through the platform's user interfaces.

Mandatory Subcontracting / Data Processing Covenants (RA 10173 Compliance):

• Confidentiality: Theryx Studio ensures that all internal personnel authorized to process customer personal data are bound by strict, binding confidentiality obligations that persist indefinitely following the completion or termination of their roles.
• Security Safeguards: Theryx Studio implements and maintains reasonable and appropriate organizational, physical, and technical measures conforming to NPC Circular 2023-06 and international standards (including database encryption-at-rest and TLS transmission encryption) to protect personal data against unauthorized or unlawful processing, accidental loss, destruction, or damage.
• Data Subject Rights: The Hotel, as PIC, maintains primary responsibility for responding to data subjects exercising their statutory rights under Section 16 of RA 10173 (rights to be informed, access, rectification, erasure, blocking, portability, and damage indemnification). Theryx Studio shall provide reasonable programmatic access to allow the Hotel to retrieve, correct, or delete such data during the evaluation period.
• Breach Notification Protocol: In the event Theryx Studio confirms a personal data breach or cybersecurity incident affecting the Hotel's unencrypted personal data, Theryx Studio shall notify the Hotel's designated administrator without undue delay, providing available forensic information to enable the Hotel to evaluate its statutory reporting obligations to the National Privacy Commission and affected individuals under NPC Circular 16-03.

Customer Representations and Labor Privacy Warranties: The Hotel represents and warrants that:

• It possesses a valid lawful basis under Section 12 or Section 13 of the DPA (such as contractual necessity, legal compliance, or explicit consent) for all personal data uploaded to the system.
• In accordance with the Philippine Supreme Court ruling in Pollo v. Constantino-David (G.R. No. 181881) and NPC Advisory Opinion 2024-003, it has established, distributed, and enforced an express written employee monitoring and privacy policy informing all hotel personnel that their task performance, attendance timestamps, and proof-of-work visual records are monitored, stored, and verified through digital systems.
• It shall not upload sensitive personal information (such as biometric facial templates, government identifier numbers, medical data, or financial account credentials) into operational fields or photo uploads.

10. Artificial Intelligence and Automated Operational Guidance Disclaimer

To the extent that Hotel Friendly incorporates algorithmic workflows, rule-based alerts, or artificial intelligence (AI) recommendations:

• Advisory Nature: All AI-assisted room turnover estimates, automated task assignments, housekeeping schedules, and performance indicators serve strictly as automated suggestions and non-binding operational assistance.
• ⭐ Managerial Prerogative and Discretion: AI outputs do not replace human oversight or managerial discretion. The Hotel retains exclusive authority, full responsibility, and final liability for all operational outcomes—including staff shifts, room readiness certifications, health and hygiene inspections, and employee disciplinary actions.
• Exclusion of Liability: Theryx Studio shall not be held liable under tort, contract, or labor standards for operational failures, missed room preparations, guest cancellations, or labor grievances resulting from reliance on AI-generated suggestions.

11. Acceptable Use Policy and Statutory Cybercrime Prohibitions ⭐ CRITICAL ⭐

The evaluation license is conditioned upon strict compliance with operational standards and applicable cybersecurity statutes. The Hotel and its authorized users shall NOT:

• Access, probe, scan, or attempt to compromise workspace instances, databases, or accounts belonging to other hotels or third parties;
• Decompile, disassemble, reverse engineer, decrypt, or extract underlying source code, database architectures, or proprietary algorithms from the web application, APIs, or mobile APK;
• Deploy automated scrapers, web spiders, crawlers, penetration testing scripts, denial-of-service vectors, or excessive automated workloads against Theryx Studio's hosting infrastructure;
• Provide, resell, lease, demonstrate, or screen-share the administrative console or APK with competing hotel-management software vendors;
• Upload, transmit, or store any malicious code, trojan horses, viruses, worms, or unlawful materials; or
• Input unconsented, unlawful, libelous, or infringing content into any database field or task description.

12. Service Availability, "As-Is" Status, and Disclaimer of Warranties

⭐ Evaluation "As-Is" Delivery: THE HOTEL FRIENDLY PLATFORM, MOBILE APK, DASHBOARDS, AND TRIAL SERVICES ARE PROVIDED STRICTLY ON AN "AS-IS" AND "AS-AVAILABLE" BASIS FOR TECHNICAL EVALUATION ONLY. TO THE MAXIMUM EXTENT PERMITTED UNDER THE LAWS OF THAILAND, INDIA, THE UNITED STATES, AND THE PHILIPPINES (INCLUDING THE CIVIL CODE OF THE PHILIPPINES, ART. 1566), THERYX STUDIO DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR COLLATERAL, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OPERATIONAL RELIABILITY, SYSTEM INTEGRATION, TITLE, AND NON-INFRINGEMENT.

No Service Level Agreement (SLA): Theryx Studio does not warrant that the evaluation instance will operate uninterrupted, secure, or bug-free. Interruptions may occur due to infrastructure maintenance, code pushes, cloud host dependencies, or telecommunications failures.

Fortuitous Events / Force Majeure: Under Article 1174 of the Civil Code of the Philippines and international contract principles, Theryx Studio shall not be liable for system downtime, failure of performance, or loss of access arising from events beyond reasonable control—including acts of God, cloud hosting outages, undersea cable severances, ISP throttling, government censorship, power grid failures, strikes, or regional cyberattacks.

13. Exclusive Intellectual Property Ownership

Proprietary Rights: Theryx Studio retains sole, exclusive, and unencumbered ownership of all right, title, and interest in and to the Hotel Friendly platform, software architecture, mobile application packages, APIs, graphical user interfaces, database schema, algorithms, training data, operational workflows, and associated trademarks, trade names, and branding.

Scope of Grant: The Hotel is granted only a temporary, revocable, non-exclusive, non-sublicensable evaluation right to interact with the software during the 10-day evaluation. No title, intellectual property transfer, or ownership interest is conveyed to the Hotel under this Agreement.

Feedback Rights: Any suggestions, bug reports, feature recommendations, or operational feedback provided by the Hotel shall become the exclusive intellectual property of Theryx Studio, which may incorporate such feedback into commercial products without compensation, attribution, or accounting to the Hotel.

14. Comprehensive Limitation of Liability ⭐ READ THIS ⭐

⭐ CONSEQUENTIAL DAMAGES EXCLUSION: TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW IN THAILAND, INDIA, THE UNITED STATES, AND THE REPUBLIC OF THE PHILIPPINES (INCLUDING CIVIL CODE ARTICLES 2201 AND 2202), IN NO EVENT SHALL THERYX STUDIO, ITS FOUNDERS, DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR UPSTREAM INFRASTRUCTURE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER.

⭐ EXCLUSION OF OPERATIONAL LOSSES: WITHOUT LIMITING THE FOREGOING, THERYX STUDIO BEARS ZERO LIABILITY FOR LOSS OF HOTEL REVENUES, LOSS OF ANTICIPATED PROFITS, MISSED GUEST CHECK-INS OR BOOKINGS, HOUSEKEEPING DEFICIENCIES, LOST OPERATIONAL DATA, EMPLOYMENT TRIBUNAL DISPUTES, OR BUSINESS DISRUPTIONS ARISING OUT OF OR IN CONNECTION WITH THE TRIAL PLATFORM, ITS LOCKOUT, OR DATA DELETION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

⭐ UNAUTHORIZED TERRITORIAL ACCESS EXCLUSION: THERYX STUDIO SHALL INCUR ZERO LIABILITY AND BEARS NO LEGAL RESPONSIBILITY FOR ANY PRIVACY BREACHES, DATA LOSS, REGULATORY ENFORCEMENT ACTIONS, OR MONETARY PENALTIES RESULTING FROM THE DOWNLOAD, INSTALLATION, OR USE OF THE APPLICATION OR APK BY ANY ENTITY OR INDIVIDUAL LOCATED OUTSIDE INDIA OR THE PHILIPPINES.

15. Suspension and Unilateral Immediate Termination

Theryx Studio reserves the sovereign, unilateral authority to suspend, restrict, or immediately terminate workspace access without prior notice, judicial intervention, or formal administrative cure periods if:

• The Hotel breaches any term of this Agreement, including the Acceptable Use Policy, eligibility rules, or data protection warranties;
• Theryx Studio detects suspicious operational anomalies, brute-force attempts, credential abuse, or unauthorized reverse-engineering;
• Theryx Studio is compelled to do so by an order issued by a competent court, regulatory body, or law enforcement agency (including the National Privacy Commission or cybercrime divisions); or
• Theryx Studio determines, in its sole discretion, that the continued operation of the evaluation instance presents a security, reputational, or technical risk to the platform.

16. Electronic Acceptance and Evidentiary Enforceability

⭐ Statutory Equivalence of Digital Acceptance: The Hotel and its authorized representative acknowledge that clicking "I Agree," checking an electronic acceptance checkbox, completing account registration, downloading the APK, or accessing the workspace dashboard constitutes a legally binding, irrevocable electronic execution of this Agreement.

Statutory Enforceability: This electronic agreement is executed and enforceable under:

• The Republic of the Philippines: Republic Act No. 8792 (Electronic Commerce Act of 2000), specifically Sections 7, 8, and 16, and the Supreme Court Rules on Electronic Evidence (A.M. No. 01-7-01-SC);
• Thailand: The Electronic Transactions Act B.E. 2544 (and amendments);
• India: The Information Technology Act, 2000 (Sections 10A and related provisions); and
• The United States: The Electronic Signatures in Global and National Commerce Act (E-SIGN Act, 15 U.S.C. § 7001) and Uniform Electronic Transactions Act (UETA).

⭐ Digital Audit Recordation: Theryx Studio programmatically records, timestamps, and preserves digital forensic metadata confirming acceptance—including the signer's IP address, user email, browser user-agent string, exact terms version hash, and timestamp. The Hotel waives any evidentiary objection or defense challenging the validity or admissibility of this Agreement based solely on its digital formation.

17. Corporate Communications and Formal Legal Notice Routing

For technical support, privacy inquiries, and formal legal notices regarding these Terms or the evaluation platform:

Formal legal notices must be served electronically to the designated corporate email address and shall be deemed received upon confirmed digital delivery receipt or within twenty-four (24) hours of dispatch, whichever is earlier.

18. Unilateral Updates, Modifications, and Amendments ⭐ FINAL — READ THIS ⭐

⭐ Reserved Right of Amendment: Theryx Studio reserves the unilateral right to update, modify, revise, or amend these Terms & Conditions at any time to reflect software enhancements, changes in hosting infrastructure, business restructuring, or amendments to applicable international and Philippine laws.

Notice and Constructive Assent: Material updates shall be communicated via an administrative banner within the web dashboard, updated terms versioning on the corporate portal, or direct email notification to the registered hotel administrator.

19. Final Authority & Unilateral Amendment Rights ⭐ FINAL — READ THIS ⭐

⭐ Theryx Studio reserves the absolute, unconditional, and unilateral right to change, modify, amend, update, replace, or terminate any part of these Terms & Conditions at any time, for any reason, with or without prior notice, at its sole and exclusive discretion.

This includes, but is not limited to:

• Trial duration, capacity limits, and eligibility rules
• Plan features, pricing, and commercial terms
• Data retention periods and deletion schedules
• Liability limitations and disclaimers
• Governing law, jurisdiction, and dispute resolution provisions
• Third-party services, infrastructure, and hosting arrangements
• Any other provision contained in these Terms

⭐ No user, hotel, customer, partner, or third party shall have the right to:

• Object to any change made by Theryx Studio
• Challenge the validity or enforceability of any updated Terms
• Claim damages, refunds, or compensation for any change
• Bring any legal action, arbitration, or dispute against Theryx Studio for exercising this right
• Claim that continued use was not voluntary acceptance of the updated Terms

Effect of Continued Use: Your continued access to or use of Hotel Friendly following any change constitutes your binding, automatic, and irrevocable acceptance of the updated Terms. If you do not agree, your sole and exclusive remedy is to immediately stop using Hotel Friendly and delete the APK.
